WHOLESALE TERMS AND CONDITIONS
This Wholesale Terms and Conditions Agreement (the "Agreement") is entered into between Rebel Reaper Clothing Co. ("Seller") and the authorized wholesale buyer ("Buyer") as of the date of Buyer's acceptance.

1. ELIGIBILITY FOR WHOLESALE ACCOUNTS
1.1 Wholesale accounts are available exclusively to legitimate retail businesses with valid business licenses or tax identification numbers.
1.2 Buyers must provide accurate business information during account registration, including contact details, resale certificates, and proof of business legitimacy.
1.3 Seller reserves the right to approve or deny wholesale account applications at its sole discretion without obligation to justify the decision.
2. MINIMUM ORDER REQUIREMENTS
2.1 Opening Orders: A minimum opening order value of $2,000.00 USD is required.
2.2 Reorders: Subsequent orders must meet a minimum value of $750 USD.
2.3 Orders below these thresholds will not allowed to be processed unless explicitly approved in writing by Seller (Rebel Reaper Clothing Company)
3. PRICING AND PAYMENT TERMS
3.1 Wholesale Pricing: All wholesale pricing is confidential and intended solely for authorized wholesale buyers. Prices are subject to change without prior notice but will not affect confirmed orders that have already been paid for.
3.2 Payment Terms:
(a) Payment is required in full before orders are shipped unless otherwise agreed upon in writing (e.g., Net 30 terms).
(b) Accepted payment methods include credit card, PayPal, bank transfer, and other pre-approved methods.
(c) Late payments are subject to a 32500.5% monthly interest charge on outstanding balances until paid in full.
3.3 Taxes and Duties: Buyers are responsible for all applicable sales taxes, duties, or customs fees unless a valid resale certificate is provided at the time of account setup.
3.4 Access to Wholesale Portal is only accessible for approved email login when applying for the account. Sharing or giving access to unauthorized personnel will result in termination of wholesale pricing with Rebel Reaper Clothing Company.
4. ORDERING PROCESS
4.1 Orders must be submitted via email, online portal, or purchase order form provided by Seller.
4.2 Once an order is submitted, it cannot be canceled or modified without written approval from Seller or if it has been processed.
4.3 Order confirmations and tracking will be sent via email upon receipt of payment. Delivery is available for local orders to Arizona within a 50 mile radius of Rebel Reaper Clothing Company’s primary store location upon request only.
5. SHIPPING AND DELIVERY
5.1 Shipping Costs: All shipping costs are the responsibility of the Buyer unless otherwise stated in writing by Seller.
5.2 Delivery Times: Estimated delivery times vary depending on location and carrier but typically range from 5–10 business days after payment confirmation. Seller is not liable for delays caused by carriers or customs clearance processes.
5.3 Shipping Insurance: Buyers may request shipping insurance at their own expense; otherwise, Buyers assume all risks for lost or damaged goods during transit.
5.4 Backorders: Items temporarily out of stock will not be automatically backordered unless agreed upon in advance. Our team will reach out for a resolution if it comes to this prior to shipment or fulfillment.
6. RETURNS AND EXCHANGES
6.1 Returns are accepted only for defective items reported within 14 days of receipt of goods. Items must be unused, unworn, and in their original packaging with tags attached.
6.2 Exchanges are subject to stock availability and must be requested within 14 days of delivery.
6.3 Unauthorized returns will not be accepted under any circumstances.
6.4 Shipping costs for returns or exchanges are the responsibility of the Buyer unless the issue arises from an error made by Seller.
7. RESALE RESTRICTIONS
7.1 Buyers may not sell Seller's products on third-party platforms such as Amazon, eBay, Walmart Marketplace, or similar sites without prior written consent from Seller.
7.2 Buyers must adhere to the Manufacturer's Advertised Price (MAP) policy at all times unless explicitly authorized otherwise.
7.3 Products may only be sold through approved retail channels such as physical stores or official e-commerce websites owned by the Buyer.
8. DISCOUNTS AND PROMOTIONS POLICY
8.1 Wholesale orders do not qualify for public promotions, discounts, or stacking discounts offered to retail customers unless explicitly approved in writing by Seller.
8.2 Promotional codes, marketing discounts, free gifts, or other incentives offered to the general public cannot be applied to wholesale orders unless prior consent is granted by Seller.
8.3 Any unauthorized use of promotional codes or discounts will result in their removal from the wholesale order without notice.
8.4 Free gifts or additional promotions for wholesale buyers will only be provided with explicit prior approval from Seller.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 All trademarks, logos, designs, product names, and branding associated with Seller remain the exclusive property of Seller.
9.2 Buyers may not reproduce, alter, or use Seller's branding for any purpose other than promoting and selling authorized products without prior written consent.
9.3 Any unauthorized use of intellectual property will result in immediate termination of the wholesale agreement and potential legal action.
10. EXCLUSIVITY OR PRIVATE LABEL (OPTIONAL)
If granted exclusivity rights:
10.1 Exclusivity agreements must be documented in writing and signed by both parties.

11. LIABILITY LIMITATION
11.1 Seller is not liable for any indirect, incidental, or consequential damages arising from the use or resale of its products.
11.2 Buyers agree to indemnify and hold harmless Seller, its employees, agents, and affiliates against any claims resulting from misuse or misrepresentation of products.
12. TERMINATION CLAUSE
Seller reserves the right to terminate a wholesale account under any of the following conditions:
12.1 Breach of these terms and conditions by the Buyer (e.g., unauthorized resale).
12.2 Non-payment or late payment exceeding 30 days past due date without prior communication with Seller.
12.3 Any actions that damage the reputation or brand integrity of Seller.
Termination will be effective immediately upon written notice from Seller, and all outstanding balances must be settled within seven (7) business days.
13. GOVERNING LAW
These terms are governed by the laws of Arizona, United States. Any disputes arising from this agreement shall be resolved exclusively in courts located in Phoenix, AZ.
14. UPDATES TO TERMS
Seller reserves the right to amend these terms at any time without prior notice to Buyers. Updated terms will be published on our website and apply to all future transactions.
By placing a wholesale order with Seller, you acknowledge that you have read, understood, and agreed to these terms and conditions in their entirety.
